PLATFORM TERMS OF USE

Welcome to RovrCare™. These User Platform Terms of Use (“Terms”) govern your access to and use of the RovrCare™ website, mobile application, and related services (collectively, the “Platform”). By creating an account, booking a service, or using the Platform in any way, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

Please read these Terms carefully. They contain important information about your rights, your responsibilities, the nature of the services facilitated through the Platform, limitations of liability, and dispute resolution.

1.  ABOUT THE PLATFORM

1.1  What RovrCare™ Is.

RovrCare™ is a technology platform that connects users (“you”) with independent, background-checked service providers (“ROVRs”) who offer non-medical companion care services. These services may include companionship and conversation, light housekeeping, technology help, meal preparation, pet care, errand assistance, transportation to appointments, and related services as listed on the Platform.

1.2  What RovrCare™ Is Not.

RovrCare™ is not a home health agency, medical provider, staffing agency, or employer of the ROVRs who provide services through the Platform. ROVRs are independent service providers, not employees of RovrCare™. The Platform facilitates the connection between you and the ROVR. The services you receive are provided by the ROVR, not by RovrCare™.

1.3  Non-Medical Services Only.

All services offered through the Platform are non-medical. ROVRs do not administer medication, provide nursing care, make healthcare decisions, diagnose conditions, or provide any form of medical treatment. If you require medical care, please contact your physician or appropriate medical provider. In a medical emergency, call 911.

2.  YOUR ACCOUNT

2.1  Account Creation.

To book services through the Platform, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

2.2  Eligibility.

You must be at least 18 years of age to create an account. If you are booking services on behalf of another person (such as a parent, family member, or dependent), you represent that you have the legal authority to do so and that the person receiving services has been informed.

2.3  Accuracy.

You agree to provide truthful and accurate information in your account profile, booking requests, special instructions, and all communications through the Platform. Inaccurate information may affect the quality of services delivered and is your responsibility.

2.4  Account Security.

You are responsible for maintaining the security of your account. Notify us immediately at support@rovrcare.com if you suspect unauthorized access to your account. The Company is not liable for losses resulting from unauthorized access caused by your failure to maintain account security.

3.  BOOKING & SERVICES

3.1  How Booking Works.

You browse available ROVRs on the Platform, select a ROVR, choose a date and time, select included services and any premium add-ons, and confirm your booking. You will receive confirmation by email and/or text. Your ROVR may place a courtesy call before the appointment to introduce themselves and confirm details.

3.2  Service Selection.

During booking, you may select up to three included services per visit and any premium add-ons at their listed prices. Your selections appear as a checklist for your ROVR so they arrive prepared. You may adjust priorities with your ROVR during the visit.

3.3  ROVR Availability.

ROVR availability depends on your service area, selected date and time, and ROVR schedule. The Platform does not guarantee that a specific ROVR will be available for every booking. If your preferred ROVR is unavailable, you may select another available ROVR or choose a different time.

3.4  Service Environment.

You agree to provide a safe, clean, and accessible environment for your ROVR. All service locations must meet basic health, safety, and cleanliness standards. The ROVR has the right to end an appointment immediately if the service environment presents safety or health risks, including but not limited to unsanitary conditions, pest infestation, lack of functioning utilities, presence of illegal substances, or any conditions that could pose a risk. In such cases, the scheduled fee will still apply.

3.5  Your Responsibilities During Service.

You are responsible for:

•  Providing accurate special instructions and relevant information about your needs

•  Ensuring the service location is accessible and safe

•  Being present (or having a designated representative present) during the service unless otherwise arranged

•  Providing all necessary supplies for tasks you request (cleaning supplies, groceries payment method, etc.)

•  Communicating respectfully with your ROVR at all times

 

4.  PRICING & PAYMENT

4.1  Service Rates.

Service rates are published on the Platform and may be updated from time to time. The current base rate for an in-person Connection Hour is $65/hour. Premium add-on services are priced individually and displayed during the booking process. Virtual RovrConnect™ sessions are priced per session as displayed on the Platform. All prices include the service and platform facilitation. There are no hidden fees.

4.2  Payment Processing.

All payments are processed securely through Stripe, our third-party payment processor. You provide a valid payment method when you create your account or at the time of your first booking. Your payment method is charged upon confirmation of each booking. Payment information is encrypted and handled in accordance with our Privacy Policy.

4.3  No Tipping.

RovrCare™ operates a no-tipping policy. Please do not offer tips or gratuities to your ROVR. Their compensation is built into the service rate, and the quality of connection they provide is the standard — not something that requires additional incentive. If you’d like to show appreciation, a kind word, a positive review, or a rebooking means more than a tip ever could.

4.4  Cancellation & Refunds.

You may cancel or reschedule any booking at any time through the Platform. If you cancel, your account will be credited and the credit applied toward your next booking. If you prefer a full refund instead of a credit, email support@rovrcare.com and we’ll take care of it. We reserve the right to modify our cancellation policy with notice.

4.5  Satisfaction.

If a visit does not meet your expectations, contact us within 48 hours at support@rovrcare.com. We will review your concern and, if appropriate, issue a full credit or refund and offer to match you with a different ROVR at no additional cost. Your satisfaction matters — but please understand that individual results may vary and the nature of companion services is inherently personal.

5.  UNDERSTANDING THE NATURE OF SERVICES

5.1  Companion Care, Not Medical Care.

Services facilitated through the Platform are non-medical companion care. They are designed to enhance quality of life through human connection, practical assistance, and emotional support. They are not a substitute for medical care, professional counseling, therapy, or any licensed health service. If you have medical needs, please consult your physician.

5.2  Independent Service Providers.

ROVRs are independent service providers who use the Platform to connect with users. While the Platform requires ROVRs to pass background checks, complete readiness assessments, and maintain quality standards as a condition of platform access, the Company does not direct, supervise, or control how ROVRs perform services during your visit. The ROVR exercises their own professional judgment in delivering companion care.

5.3  No Guarantees of Outcome.

The Platform facilitates connections between you and qualified service providers. However, the Company does not guarantee any specific outcome, result, or experience from any service. Companion care is inherently personal, and individual experiences will vary based on the unique dynamics between you and your ROVR. The Company strives to match you with providers who meet our quality standards, but cannot guarantee compatibility.

5.4  Assumption of Risk.

You acknowledge that inviting a service provider into your home or location carries inherent risks. While the Platform requires background checks and quality screening for all ROVRs, no screening process can eliminate all risk. You assume responsibility for the decision to use the Platform and to invite a ROVR into your home or location. You are encouraged to review your ROVR’s profile, photo, and qualifications before booking.

5.5  Emergencies.

ROVRs are not medical professionals or emergency responders. In any medical emergency, call 911 immediately. Your ROVR may assist by calling 911 on your behalf and staying with you until help arrives, but they are not trained or authorized to provide medical treatment. If you have a known medical condition that may require emergency intervention, please inform your ROVR and ensure appropriate medical contacts are available.

 

6.  PRIVACY & COMMUNICATION

6.1  Your Privacy.

Your personal information is handled in accordance with our Privacy Policy, which is incorporated into these Terms by reference. We take your privacy seriously and do not sell, rent, or trade your personal information to third parties.

6.2  Masked Communication.

Communications between you and your ROVR are facilitated through the RovrCall™ masked communication system. This means neither you nor the ROVR can see each other’s personal phone number. This protects your privacy and the ROVR’s privacy. All calls are logged for quality assurance and safety purposes.

6.3  Do Not Contact ROVRs Directly.

You agree not to solicit, request, or attempt to obtain your ROVR’s personal contact information, including personal phone number, email address, social media accounts, or home address under any circumstances. All communication should occur through the Platform’s designated channels. This policy exists to protect both you and the ROVR.

6.4  Do Not Hire ROVRs Off-Platform.

You agree not to hire, contract with, or engage any ROVR you have met through the Platform to provide services outside the Platform, either during your use of the Platform or for a period of twelve (12) months after your last booking. If you would like more frequent or different services, we are happy to accommodate through the Platform.

7.  YOUR CONDUCT

7.1  Respectful Interaction.

You agree to treat your ROVR with dignity, respect, and professional courtesy at all times. ROVRs are people providing a valuable service. Disrespectful, abusive, threatening, discriminatory, or harassing behavior toward a ROVR will result in account suspension or permanent deactivation.

7.2  Prohibited Conduct.

The following will result in immediate account deactivation:

•  Verbal, physical, or sexual harassment of a ROVR

•  Discriminatory treatment based on race, gender, religion, age, disability, sexual orientation, or any protected characteristic

•  Requesting services that are illegal, unsafe, or outside the scope of companion care

•  Attempting to obtain a ROVR’s personal contact information

•  Attempting to hire a ROVR off-platform

•  Providing a service environment that is unsafe or hazardous

•  Making false or fraudulent claims about services received

•  Offering tips or gratuities after being informed of the no-tipping policy

7.3  ROVR Safety.

Your ROVR has the right to leave your home or service location at any time if they feel unsafe, uncomfortable, or if the environment does not meet safety standards. In such cases, the scheduled fee will apply. We take ROVR safety as seriously as we take yours.

8.  REVIEWS & FEEDBACK

8.1  Ratings.

After each visit, you may rate your ROVR on a five-star scale and leave a written review. We use your feedback to maintain service quality and improve the Platform. Honest, constructive feedback is encouraged.

8.2  Review Guidelines.

Reviews must be truthful, relevant to the service received, and free of personal attacks, discriminatory language, or private information about the ROVR. The Company reserves the right to remove reviews that violate these guidelines.

8.3  License to Use Reviews.

By submitting a review, you grant the Company a perpetual, worldwide, royalty-free license to use, reproduce, modify, and display your review for Platform operation, marketing, and quality improvement purposes. You retain ownership of your review content.

9.  DISCLAIMERS & LIMITATIONS

9.1  Platform Provided As-Is.

THE PLATFORM AND ALL SERVICES FACILITATED THROUGH IT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9.2  No Guarantee of Service Quality.

While the Platform requires background checks and quality standards for all ROVRs, the Company does not guarantee the quality, safety, or suitability of any individual ROVR or service. Companion care is a personal service and individual experiences will vary. The Company is not responsible for the actions, omissions, or conduct of any ROVR.

9.3  Limitation of Liability.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF THE PLATFORM OR ANY SERVICE FACILITATED THROUGH IT, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, PROPERTY DAMAGE, EMOTIONAL DISTRESS, LOSS OF DATA, OR LOSS OF INCOME. THE COMPANY’S MAXIMUM AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU THROUGH THE PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9.4  Your Sole Remedy.

If you are dissatisfied with the Platform or any service received, your sole remedy is to discontinue use of the Platform and request a refund for the specific service in question pursuant to Section 4.5.

 

10.  INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from: your use of the Platform, your interaction with any ROVR, any content you submit through the Platform, your violation of these Terms, or your violation of any rights of a third party.

11.  INTELLECTUAL PROPERTY

The Platform, including all content, software, trademarks (ROVRCARE™, ROVR™, CAREGINEER®, ROVRCONNECT™, ROVRCALL™, and related marks), and related materials, is the exclusive property of the Company. You are granted a limited, revocable, non-exclusive license to access and use the Platform for personal, non-commercial purposes consistent with these Terms. You may not copy, reproduce, distribute, modify, or create derivative works from any Platform content.

12.  ACCOUNT TERMINATION

12.1  By You.

You may close your account at any time by contacting support@rovrcare.com. Any outstanding payments or credits will be resolved before account closure.

12.2  By the Company.

The Company may suspend or deactivate your account at any time, with or without notice, for violation of these Terms, prohibited conduct, or any other reason at the Company’s sole discretion. Outstanding credits or refunds owed to you will be processed.

12.3  Survival.

The non-solicitation obligation in Section 6.4, the confidentiality expectations, the indemnification provision in Section 10, and the limitation of liability in Section 9 survive termination of your account.

13.  DISPUTE RESOLUTION & GOVERNING LAW

13.1  Governing Law.

These Terms shall be governed by the laws of the State of Texas, without regard to conflict of laws provisions.

13.2  Arbitration.

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration administered by JAMS in Harris County, Texas. Each party shall bear their own costs. The arbitrator’s decision shall be final and binding.

13.3  Exceptions.

Either party may bring a claim in small claims court if it falls within that court’s jurisdiction, or seek injunctive relief to prevent irreparable harm.

13.4  Severability.

If any provision is found invalid or unenforceable, it shall be modified to the minimum extent necessary. The remaining provisions continue in full force.

14.  AMENDMENTS

The Company reserves the right to update these Terms at any time. Material changes will be communicated through the Platform, by email, or by posting an updated version with a new effective date. Your continued use of the Platform following any update constitutes acceptance of the revised Terms. If you do not agree to updated Terms, please discontinue use of the Platform.

15.  TEXT MESSAGING TERMS

15.1 Consent to Receive Messages. By creating an account on the RovrCare™ platform and providing your phone number, you consent to receive transactional and service-related text messages from RovrCare™, including appointment confirmations, booking reminders, schedule updates, service notifications, and platform communications. You may also receive operational messages through the RovrCall™ and Connecteam systems if you are a Service Provider on the Platform.

15.2 Message Frequency. Message frequency varies based on your service activity. You may receive messages related to each booking you make or accept, including confirmations, reminders, and follow-ups. You will not receive marketing or promotional text messages unless you separately opt in to a marketing program.

15.3 Message and Data Rates. Standard message and data rates may apply depending on your mobile carrier and plan. RovrCare™ is not responsible for any messaging or data charges imposed by your carrier.

15.4 Opt-Out. You may opt out of receiving text messages at any time by replying STOP to any message from RovrCare™. Upon opting out, you will receive a confirmation message and no further text messages will be sent. Opting out of text messages does not close your account or cancel any scheduled services. You may still receive communications through email or in-app notifications.

15.5 Help. For help with text messaging, reply HELP to any message from RovrCare™ or contact support@rovrcare.com or call (855) 446-7687.

15.6 Supported Carriers. Messages are supported on all major U.S. carriers. Carrier delivery is not guaranteed. RovrCare™ is not responsible for delayed or undelivered messages caused by carrier issues.

ACCEPTANCE

By creating an account, booking a service, or using the Platform, you acknowledge that you have read, understood, and agree to these User Platform Terms of Use, our Privacy Policy, and our Legal Notices. You understand that:

•  ROVRs are independent service providers, not employees of RovrCare™

•  Services are non-medical companion care only

•  The Platform facilitates connections but does not guarantee outcomes

•  You assume responsibility for the decision to invite a service provider into your home

•  Your use of the Platform is subject to the disclaimers and limitations described in these Terms

•  Disputes will be resolved through binding arbitration in Harris County, Texas
